The President resigned three weeks ago. We had a properly scheduled meeting scheduled for 5 days after the Pres submitted her resignation. The VP canceled the board meeting without providing any explanation. He has declared he is now the President. He told us not to bother him, and that he was busy trying to "clean up a mess". We have no idea what he is referring to. We have requested he reschedule the meeting. He does not respond. He was verbally abusive to a board member on the phone when she called to ask when and why the meeting was canceled. At this time the President's resignation has not been voted on by the board. We have decided to request a Special Meeting of the Board of Directors following our bylaws to have the now acting(?) President removed from the board with cause (bullying, overstepping his authority and responsibility, hijacking the board and preventing board business to be conducted). So here is the question: who votes to remove the offending VP/self appointed Pres
we only have 5 officers and two alternates
so the resigned pres doesn't vote
the vp doesn't vote
we have an officer who cannot vote because of violations and unpaid fines
that leaves me the Secretary, the treasurer and two alternates. can they all vote?
what will consistute a quorum in this mess?

You are right what a mess! However, we can't advise you without knowing what kind of organization you are and what your bylaws state regarding this. However, here is something that you might not have considered--the membership may be the ones who must remove him.
