How do you get rid of a board member who is working with a competing organization to undermine our efforts? She has been confronted by HR but denies it, there is evidence but the reliable sources do not want to be named.

My goodness if this doesn't sound like cloak and dagger! I have never heard of such a thing. You need to look in your bylaws. Some provide for the removal of a board member by which the members can make a motion to do so. If your bylaws do not provide for that, then unfortunately you will have to have a trial. The McConnell's book, "Robert's Rules of Order Simplified and Applied" have a whole chapter on discipline in which the procedures for a trial are explained.
